Monroe Moxness Berg served as legal counsel to All States Ag Parts, LLC (“ASAP”), a portfolio company of Kinderhook Industries, in its acquisition of John F. Mahaney Company (“Mahaney”). Mahaney, of Sacramento, California, distributes professional-grade tools and supplies to the agricultural and industrial markets. Mahaney represents the second add-on acquisition for ASAP and Kinderhook’s 73rd acquisition in the automotive aftermarket.
The purchase will represent ASAP’s tenth retail location and first location in California. Over time, ASAP plans to expand the product line currently available to Mahaney customers. In addition to providing the first ASAP California location, the acquisition strengthens the company’s emerging wholesale division and provides ASAP with manufacturing capability for Mahaney’s popular Red Rooster Tools brand, a line of professional-grade agricultural hand tools.
