Nick J. Mizaur is an associate in the firm’s corporate practice group, advising private companies, investors and multi-unit operators on a broad range of transactional matters, including mergers and acquisitions, franchise transactions, corporate finance, entity formation and general business structuring.
Nick’s practice focuses on complex, middle-market transactions, with particular experience in multi-unit and franchise-based businesses. He assists clients with acquisitions and divestitures, financing arrangements, entity structuring, and internal reorganizations, working closely with stakeholders to navigate the legal and business considerations that drive successful outcomes. His experience spans a variety of industries, including restaurant, retail, real estate, start-ups and other consumer-facing businesses.
Drawing on his prior experience as in-house counsel for a national professional services firm, Nick brings a practical, business-oriented perspective to his work. He understands how legal advice impacts day-to-day operations, growth strategy, and long-term value, and strives to deliver guidance that is both technically sound and commercially actionable. Clients rely on him to anticipate issues, manage the many moving pieces of complex transactions, and communicate clearly and efficiently throughout the deal process.
Nick began his legal career in litigation, where he handled a wide range of commercial disputes. That background informs his transactional practice today, enabling him to identify risk early, structure agreements thoughtfully, and help clients avoid potential disputes before they arise.
Nick earned his J.D. from Creighton University School of Law and his undergraduate degree from Brown University, where he was a member of the varsity football team. Outside of his practice, he enjoys attending sporting events, fishing, cooking and grilling, exploring new restaurants, reading, and traveling domestically and internationally.
